By engaging Genius Integrate LLC for consulting services, the client agrees to the following terms and conditions.
MUTUAL CONFIDENTIALITY & CLARITY SESSION AGREEMENT
This Agreement is entered into between:
Client:
The individual or company booking the session and Genius Integrate LLC, a Florida limited liability company.
Effective Date:
The date the session is booked.
Purpose
The purpose of this Agreement is to enable confidential strategic discussions and conduct a Clarity Session, a 90-minute executive advisory session designed to provide strategic insights and decision clarity.
Mutual Confidentiality
Both parties acknowledge that confidential information may be disclosed during discussions.
Confidential Information includes, but is not limited to:
Business strategies
Operational processes
Intellectual property
Non-public business information
Business strategies
Both parties agree to:
Maintain confidentiality
Not disclose information to third parties without written consent
Use disclosed information solely for evaluation and advisory purposes
Exclusions
Confidential Information does not include information that:
Is publicly available
Was lawfully known prior to disclosure
Is independently developed
Is required by law to be disclosed
The confidentiality obligation remains in effect for two (2) years from the date of the session.
Scope of Clarity Session
The Clarity Session is a 90-minute executive advisory working session focused on:
Decision clarity
Strategic prioritization
Capital allocation
This engagement does not include implementation, operational execution, or ongoing consulting unless agreed separately in writing.
Payment terms
The Clarity Session fee is $650 USD.
Payment is required in full prior to confirmation of the session.
Sessions may be rescheduled up to 24 hours in advance.
Cancellations made within 24 hours of the scheduled session are non-refundable.
Advisory Nature & Limitation of Liability
Genius Integrate LLC provides strategic advisory input only.
All business decisions remain the responsibility of the Client.
To the fullest extent permitted by law, Genius Integrate LLC shall not be liable for indirect, consequential, or business losses resulting from decisions made following the session.
Total liability, if any, shall not exceed the amount paid for the Clarity Session.
No Employment or Partnership
Nothing in this Agreement creates an employment, partnership, or joint venture relationship between the parties.
Governing Law
This Agreement shall be governed by the laws of the State of Florida.
